Terms and Conditions — CartFlux

1. Contracting parties

This agreement is entered into between:

and

The Merchant ("User", "You") — the authorized natural person or legal entity that registers for and uses the CartFlux platform.

2. Description of the service

CartFlux is a SaaS (Software as a Service) platform that enables merchants to create and operate dropshipping online stores, with access to:

• Online store on a *.cartflux.eu subdomain or custom domain (Business plan)
• Product catalog from European sources (BigBuy and other suppliers)
• Admin dashboard (products, orders, customers, settings)
• Visual Site Builder for store customization
• Payment processing via Stripe Connect
• Automatic invoicing via SmartBill (optional)
• Multi-language support (RO, EN, DE, ES)

3. Registration and account

3.1 Eligibility

CartFlux services are available exclusively to:

• Natural persons aged 18 or over
• Authorized sole traders (PFA)
• Commercial companies legally registered in Romania or the EU

3.2 Merchant obligations at registration

• Provide accurate and complete information
• Keep account data up to date
• Maintain the confidentiality of access credentials
• Be responsible for all activities carried out from your account

3.3 Account approval

CartFlux uses an approval system (waitlist). We reserve the right to refuse registration without being obliged to provide reasons for the decision.

4. Plans and pricing

4.1 Billing

• Subscriptions are billed monthly or annually, in advance
• Payment is made by bank card via Stripe
• Invoices are issued electronically to the registered email address

4.2 Price changes

We reserve the right to change pricing with 30 days' prior notice. Continued use after the effective date constitutes acceptance of the new prices.

5. Platform commission

CartFlux retains a percentage commission on sales processed through Stripe Connect in your store, according to the selected plan (Free, Pro, Business). The percentage and catalog cost are displayed in the dashboard and in the pricing section on the website.

The commission covers:

• Platform infrastructure
• Access to the product catalog
• Payment processing
• Technical support

6. Merchant obligations

The Merchant agrees to:

• Comply with applicable Romanian and European e-commerce legislation
• Display their own privacy policy and terms and conditions to end customers in the store
• Not sell illegal, counterfeit, or prohibited products
• Not use the platform for fraudulent activities or spam
• Respect the intellectual property rights of product suppliers
• Properly manage the relationship with end customers (returns, complaints, warranties)
• Meet tax obligations related to their own sales

7. CartFlux obligations

CartFlux agrees to:

• Provide the service in accordance with platform specifications
• Maintain platform availability (target SLA 99.5% uptime)
• Notify merchants of planned outages
• Protect data in accordance with the Privacy Policy and GDPR
• Provide technical support through available channels

8. Intellectual property

8.1 The CartFlux platform

The code, design, trademarks, and content of CartFlux are the exclusive property of NOVA CRAFT STUDIO SRL. You may not copy, modify, or redistribute the platform.

8.2 Merchant content

Content uploaded by the Merchant (logo, texts, own images) remains the property of the Merchant. You grant CartFlux a limited license to use it for the provision of the service.

8.3 Product catalog

Product images and descriptions in the CartFlux catalog belong to the respective suppliers (BigBuy, etc.) and are available to merchants exclusively within the platform, for legitimate commercial purposes.

9. Limitation of liability

CartFlux is not liable for:

• Loss of merchant revenue due to temporary platform unavailability
• Actions or omissions of the merchant's end customers
• Quality, availability, or delivery of products by third-party suppliers
• Changes in payment provider (Stripe) or product supplier policies
• Possible errors in stock synchronization with suppliers

CartFlux's total liability to a merchant shall not exceed the subscription amount paid in the last 3 months.

10. Suspension and termination

10.1 Suspension by CartFlux

We reserve the right to suspend or close an account without prior notice in the event of:

• Fraudulent use of the platform
• Sale of illegal or prohibited products
• Non-payment of the subscription
• Serious breach of these terms

10.2 Termination by the Merchant

You may close your account at any time from the dashboard (Profile section). Upon account closure:

• The active subscription is not refunded on a pro-rata basis
• Data is retained for 30 days, then permanently deleted
• Orders in progress will be completed

10.3 Effects of termination

Upon termination of the agreement, access to the platform and to created stores ceases immediately.

11. Privacy and data

The processing of personal data is governed by the Privacy Policy and the Data Processing Agreement (DPA), which form an integral part of this agreement.

12. Changes to the terms

We reserve the right to modify these terms with 14 days' prior notice by email. Continued use of the platform after the effective date constitutes acceptance of the changes.

13. Governing law and disputes

This agreement is governed by Romanian law. Any dispute shall be resolved amicably. If no agreement is reached, the dispute shall be referred to the competent courts in Bucharest, Romania.
